Definition

Describing a contract or legal act that is valid unless one party chooses to void it. Unlike void contracts, voidable contracts are enforceable until the disadvantaged party exercises their right to cancel.

Etymology

From 'void' (empty, having no legal effect) with the suffix '-able' indicating capability. The distinction between void and voidable developed as courts recognized that some defective contracts should remain enforceable unless challenged.
